We do not publish client names as a matter of course, and where we do it is because the client asked us to or agreed to it in writing. What follows is the work.

Case stories

Two weeks to become a real company

Two co-founders received an invitation from an accelerator interested in what they were building. The meeting was in a fortnight.

The company was not registered. Nothing existed on paper between the two of them. No tax registration, no sector licence, no business bank account, no data protection registration, and no trademark on a logo they had been promoting for a year.

They had product-market fit and were going all in — on a foundation of nothing.

What we did: full structuring in sequence — incorporation with a share structure that reflected actual contribution, a founder agreement covering vesting and departure, sector licensing, tax and data protection registration, and trademark filings on the marks already in the market.

Where it ended: they walked into the meeting with a Legal Readiness File rather than an apology.

The fintech registered with the wrong share capital

A founder engaged an agent to register a fintech company. The agent filed ₦1,000,000 in share capital. The sector requires ₦20,000,000.

The filing kept being queried and the agent could not explain why. Eventually the founder confronted him: “I’ve paid you, why are you not able to register the company?”

Neither of them knew what they did not know.

What we did: identified the requirement, corrected the share capital position and completed the registration on the correct footing.

Where it ended: a company that could actually apply for the licence its business model depended on.

From co-founder agreement to a million-dollar company

A human resources technology business came to us at the very beginning, with two founders and an idea about how to structure what they were building.

What we did: the first co-founder agreement, then the structuring for the first funding round, then board formation, then the legal groundwork for expansion into other African markets.

Where it ended: the company is now valued at over a million dollars, and the legal structure has held through every stage of it.
